Please read these Terms of Service ("Terms") carefully before using TomLegal AI. By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Acceptance of Terms

These Terms constitute a legally binding agreement between you and TomX Corporation ("TomX," "we," "us," or "our"), a Texas corporation located at 5757 Alpha Rd, Suite 504, Dallas, TX 75240. These Terms govern your access to and use of TomLegal AI, including our website, mobile applications, APIs, and all related services (collectively, the "Service").

By creating an account, using the Service as a guest, or otherwise accessing any part of the Service, you affirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Description of Service

TomLegal AI is an artificial intelligence-powered legal research platform designed to assist users in locating and understanding legal information, including case law, statutes, regulations, and court filings.

THE SERVICE DOES NOT PROVIDE LEGAL ADVICE. All outputs generated by the Service are informational in nature only and do not constitute legal advice, legal opinions, or attorney-client communications. No attorney-client relationship is formed through your use of the Service. You should not rely on any output from the Service as a substitute for consultation with a licensed attorney qualified in the relevant jurisdiction. TomX Corporation expressly disclaims any liability arising from reliance on Service outputs without independent legal verification.

3. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The Service is not directed to children under the age of 13. If we learn that we have collected personal information from a child under 13, we will delete that information promptly.

4. Account Types and Usage Limits

The Service is available under three tiers:

Guest — No account required. Limited to 10 queries per day, subject to IP-based rate limiting. All research sessions are publicly accessible by default.

Free Account — Requires registration with a valid email address. Limited to 25 queries per day. Chat history is saved and accessible only to the account holder. Research sessions are publicly accessible by default.

Pro Account — Requires a paid subscription. Unlimited queries per day, subject to fair use. Research sessions are private and not publicly accessible. Access to the latest AI models and advanced sourcing capabilities.

Query limits reset on a daily basis. We reserve the right to adjust usage limits at any time with reasonable notice.

5. Subscriptions, Billing, and Payments

5.1 Subscription Plans. Pro subscriptions are available on a monthly or annual basis. Current pricing is displayed on our pricing page and may be updated at any time. Your subscription fee will be charged at the beginning of each billing period.

5.2 Payment Processing. Where paid subscriptions are offered, payments are processed by Stripe, Inc. By providing payment information, you authorize TomX to charge your payment method through Stripe for all applicable fees. TomX does not store your payment card information on its servers. Your use of payment services is subject to Stripe's terms of service.

5.3 Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at support[at]tomx.com. Cancellation takes effect at the end of the current billing period. You will retain Pro access until that date. We do not provide prorated refunds for partial billing periods except as required by applicable law.

5.4 Free Trial. If a free trial is offered, it will be described at the time of sign-up. At the end of the trial period, your subscription will automatically convert to a paid plan unless cancelled.

5.5 Price Changes. We will provide at least 30 days' notice before any price change takes effect. Continued use after a price change constitutes acceptance of the new pricing.

6. Credits System

Usage of the Service is governed by a credits system. Each query consumes one credit. Credits are allocated based on your plan tier and reset on a daily and monthly schedule. Credits are non-transferable and have no cash value. Unused credits do not roll over between periods.

7. Public and Private Research

Research sessions created by Guest and Free Account users are publicly accessible by default and may be indexed and displayed to other users through the Service's discovery features. By submitting queries on a Guest or Free Account, you acknowledge that your research sessions may be publicly visible.

Pro Account users' research sessions are private by default and are not accessible to other users. You are responsible for not submitting confidential, privileged, or sensitive information in public research sessions.

8. File Uploads

The Service allows you to upload files including PDFs, text documents, images, and Microsoft Office files for use in research sessions. By uploading a file, you represent that you have the right to upload and process that content and that doing so does not violate any law or third-party rights.

You are solely responsible for the content of files you upload. Do not upload files containing confidential client information, privileged communications, or third-party proprietary data without appropriate authorization. TomX processes uploaded files using AI embedding models to enable semantic search within your research session. Files are stored securely and associated with your account.

9. AI Providers and Third-Party Services

The Service relies on third-party AI providers including OpenAI, Anthropic, Google, and Groq to process your queries and generate responses. The app asks for your permission before sending your research request, prompt enhancement request, or uploaded-file content to an AI provider. TomX does not guarantee the availability, accuracy, or continued operation of any specific AI model or provider.

10. Intellectual Property

10.1 TomX IP. The Service, including its software, design, trademarks, and content, is owned by TomX Corporation and protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written consent.

10.2 Your Content. You retain ownership of the queries, files, and other content you submit to the Service ("Your Content"). By submitting Your Content, you grant TomX a limited, non-exclusive, royalty-free license to process Your Content solely for the purpose of providing the Service to you.

10.3 Feedback. Any feedback, suggestions, or ideas you provide regarding the Service may be used by TomX without restriction or compensation to you.

11. Prohibited Conduct

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable law or regulation
Engage in the unauthorized practice of law or hold yourself out as an attorney based on Service outputs
Present AI-generated research as independently verified legal advice without review by a licensed attorney
Fabricate, misattribute, or misrepresent legal citations or authorities generated by the Service
Attempt to reverse engineer, decompile, or extract proprietary algorithms, models, or source code
Use automated tools, bots, or scripts to exceed usage limits or scrape Service content
Share account credentials with third parties
Attempt to probe, scan, or test the vulnerability of our systems
Upload or transmit malicious code, malware, or harmful content
Harass, threaten, or harm other users
Violate the intellectual property rights of TomX or any third party

Violations may result in immediate suspension or termination of your account and may be referred to law enforcement.

12. Termination

TomX may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. If we terminate your account for violation of these Terms, you are not entitled to a refund of any subscription fees. You may terminate your account at any time by contacting support[at]tomx.com.

Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including without limitation Sections 10, 14, 15, and 16.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. TOMX DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM INACCURACIES, OMISSIONS, OR DEFECTS. AI-GENERATED OUTPUTS MAY CONTAIN ERRORS AND SHOULD NOT BE RELIED UPON WITHOUT INDEPENDENT VERIFICATION.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TOMX CORPORATION, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, DATA, GOODWILL, OR LEGAL COSTS RESULTING FROM RELIANCE ON SERVICE OUTPUTS. IN NO EVENT SHALL TOMX'S TOTAL LIABILITY EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO TOMX IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

15. Indemnification

You agree to indemnify, defend, and hold harmless TomX Corporation and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Service, your violation of these Terms, or your violation of any rights of another person or entity.

16. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Dallas County, Texas, and you hereby consent to personal jurisdiction in those courts.

WAIVER OF CLASS ACTION. TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting a notice on the Service or by sending an email to your registered address at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
